These Terms govern your access to and use of Flasset.org and related services.

These Terms of Service (“Terms” or “Agreement”) govern your access to and use of the website located at https://www.flasset.org, and any affiliated websites, pages, applications, platform features, or services operated by Flasset (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Age Requirements

The Services are intended for individuals who are at least 18 years old and legally capable of entering into a binding contract. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian, who remains responsible for compliance with these Terms.

2. Privacy Policy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference.

3. Accounts and Access

Certain features may require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to provide accurate, current, and complete information and to promptly update account information as needed. We may suspend or terminate access if account information is inaccurate, incomplete, or used in violation of these Terms.

4. Customer Data and Uploaded Assets

The Services may allow users to upload, store, manage, organize, search, display, or analyze digital assets, metadata, rights information, permissions, restrictions, descriptions, tags, documents, images, videos, and related materials (“Customer Data”).

As between you and Flasset, you retain ownership of Customer Data that you upload or provide, subject to the rights granted in these Terms and any separate agreement between you and Flasset.

You grant Flasset a limited, non-exclusive, worldwide license to host, process, display, transmit, copy, and use Customer Data as reasonably necessary to provide, secure, maintain, improve, and support the Services.

You are responsible for ensuring that you have all rights, permissions, consents, licenses, and legal authority necessary to upload, use, manage, and share Customer Data through the Services.

5. Asset Rights and No Clearance Guarantee

Flasset provides tools to help organize, manage, search, and display asset-related information. Unless expressly agreed in writing, Flasset does not independently verify ownership, licensing rights, permissions, clearance status, third-party rights, model or property releases, copyright status, trademark status, privacy rights, publicity rights, or the legal sufficiency of asset metadata.

Any rights status, usage label, license note, valuation, risk indicator, or similar information shown through the Services is for organizational and informational purposes only and does not constitute legal clearance, legal advice, or permission to use an asset.

You are solely responsible for reviewing and confirming whether any asset may be used, copied, distributed, published, licensed, modified, displayed, commercialized, or otherwise exploited.

6. Intellectual Property Rights

All content available on the Services, including but not limited to text, articles, trademarks, service marks, logos, graphics, images, videos, software, platform features, code, design elements, workflows, and interfaces (collectively, the “Flasset Content”), is owned by or licensed to Flasset and is protected by U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and any applicable subscription, order form, or written agreement. You may not copy, reproduce, distribute, modify, display, sell, license, or otherwise exploit any Flasset Content without prior written permission. Requests may be sent to support@flasset.org.

7. Restrictions on Use

You agree not to reverse-engineer, decompile, disassemble, or attempt to extract source code; use the Services for unlawful, misleading, infringing, harmful, or fraudulent purposes; sell, sublicense, resell, rent, lease, or commercially exploit the Services except as expressly authorized; interfere with the operation, security, or integrity of the Services; use bots, scrapers, or automated tools to access or collect data except as permitted by us; bypass access controls; or use the Services to develop a competing product or service.

8. No Legal Advice

The Services do not provide legal advice. Information provided through the Services, including asset status, rights notes, usage descriptions, value estimates, risk indicators, and related outputs, is general informational content only.

You should consult qualified legal counsel before relying on any asset for external publication, licensing, distribution, commercialization, AI training, marketing, sale, or other use that may involve legal rights or obligations.

9. Submissions and Feedback

We do not accept unsolicited ideas, proposals, or confidential information through the public Sites. If you submit any feedback, suggestions, ideas, or recommendations regarding the Services (“Feedback”), you acknowledge that they are non-confidential and grant Flasset a royalty-free, worldwide, irrevocable license to use, modify, and incorporate them without restriction or compensation.

This section does not apply to Customer Data uploaded to the Services for use within your account, which is addressed in Section 4.

10. Prohibited Conduct

You agree not to upload, post, transmit, or use Customer Data or the Services in a way that is false, misleading, defamatory, infringing, unlawful, harmful, invasive of privacy, or in violation of third-party rights.

You also agree not to attempt unauthorized access, circumvent security features, introduce malware, disrupt Site or platform functionality, or use the Services in a manner that could damage, disable, overburden, or impair our systems. Violations may result in suspension, termination, or legal action.

11. Third-Party Links and Services

The Services may contain links to third-party websites or integrate with third-party services (“Third-Party Services”). Flasset does not control and is not responsible for Third-Party Services, including their content, privacy practices, security, availability, or functionality. Your use is at your own risk and may be subject to separate third-party terms.

12. Disclaimer of Warranties

The Services and all Flasset Content are provided “as is” and “as available.” To the fullest extent permitted by law, Flasset disclaims all warranties, express or implied, including accuracy, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, and any warranty arising from course of dealing or usage of trade.

Flasset does not warrant that asset information, metadata, rights labels, search results, usage notes, or value estimates are complete, accurate, current, legally sufficient, or suitable for any particular use.

13. Arbitration Agreement and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, administered by JAMS in accordance with its Comprehensive Arbitration Rules.

Location: Boston, Massachusetts. Individual basis only: no class, collective, or representative actions.

Opt-out: You may opt out of arbitration by sending written notice to support@flasset.org within 30 days of first using the Services.

14. Limitation of Liability

To the maximum extent permitted by law, Flasset shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Services, including lost profits, lost revenue, business interruption, loss of data, loss of goodwill, or claims arising from asset use, rights status, licensing decisions, or reliance on Customer Data or platform outputs.

If liability is found, Flasset’s maximum aggregate liability shall not exceed the amount you paid to access the Services during the twelve months preceding the event giving rise to the claim, or one hundred dollars if you paid nothing.

15. Indemnification

You agree to indemnify and hold harmless Flasset and its owners, officers, employees, contractors, service providers, and agents from any claims, damages, losses, liabilities, costs, or expenses arising out of or related to your use of the Services, your Customer Data, your violation of these Terms, your infringement or alleged infringement of any third-party rights, or your use, publication, licensing, distribution, commercialization, or other exploitation of any asset managed through the Services.

16. Governing Law and Venue

These Terms shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. Any dispute not subject to arbitration shall be brought exclusively in the state or federal courts located in Massachusetts.

17. Changes to These Terms

We may update these Terms at any time by posting a revised version on the Services. Your continued use after changes are posted constitutes acceptance.

18. Termination

We reserve the right to suspend or terminate access to the Services at any time, with or without notice, for any violation of these Terms, suspected misuse, security risk, legal requirement, nonpayment, or any lawful reason.

Upon termination, your right to access or use the Services will cease. Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, Customer Data responsibilities, disclaimers, limitation of liability, indemnification, arbitration, governing law, and payment obligations, if applicable.
